Terms of Service

Effective date: July 20, 2026 (v1.0)

Contract between: you and Peeek, Inc., a Delaware corporation.

These Terms of Service ("Terms") are a binding agreement between you and Peeek, Inc., a Delaware corporation ("Peeek," "we," "us," "our"). They govern your access to and use of the Peeek ticketing and event-discovery platform (the "Service"). By accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. The Service and Marketplace Structure

Peeek is a ticketing and event-discovery platform that connects event hosts with attendees. Hosts create, describe, price, operate, and are solely responsible for their events. Peeek provides the technology that lets hosts publish events and sell tickets and lets attendees discover events and reserve or purchase tickets.

Peeek is not the organizer, promoter, operator, or seller of record of any event experience. We do not run events, control their content or conduct, or guarantee that any event will take place as described. When you purchase a ticket, you purchase it from the host; Peeek facilitates the transaction and payment through our payment processor, Stripe. Your dealings with a host are between you and the host, subject to these Terms and the host's stated event policies.

2. Eligibility, Identity, and Ava Scores

You must be at least 18 years old and able to form a binding contract to use the Service.

Every Peeek account requires a verified account with Avarithim, Inc. ("Avarithim"), our affiliated identity-verification provider and a fellow Denali Labs company. Your Peeek access depends on your Avarithim account remaining in good standing; suspension, termination, or loss of verification of your Avarithim account may result in suspension or termination of your Peeek account. You are responsible for all activity under your account and for keeping your credentials secure.

Ava Scores. The Service uses your Ava Score and related axis scores, signal archetype, and trust indicators — proprietary, automated estimates computed by Avarithim from connected-platform data and activity — to determine your eligibility for event access tiers within the Service. Ava Scores are provided for use within the Service only. They may change at any time as data, inputs, or methodology change, and we make no representation that any score is accurate, complete, or suitable for any purpose outside the Service. Qualifying for a tier does not guarantee access to any event, which remains subject to capacity, host approval, and these Terms.

Prohibited uses. The Ava Score is not a credit score and not a consumer report. You may not use Ava Scores or other Avarithim or Peeek data to make decisions about any person's eligibility for credit, insurance, employment, housing, or any other purpose covered by the Fair Credit Reporting Act or similar laws.

3. Tickets and RSVPs

A ticket is a single-use credential, represented by a QR code, tied to your verified identity and valid only for the event, tier, and holder for which it was issued. You must present your QR code for scanning at the door; entry is at the host's discretion consistent with the event's stated terms.

Transferability. Free tickets, discounted tickets, and host-approval tickets are non-transferable. Full-price tickets to public events may be transferred only to another verified user who meets the tier's requirements, where the Service makes transfer available. Any attempt to sell, resell, or transfer a ticket outside the Service, or in violation of these rules, voids the ticket.

Waitlists. When a tier is sold out, you may join a waitlist. If a spot opens, you may be promoted and given a limited confirmation window; if you do not confirm within that window, your promotion may expire and the spot may pass to the next person. Sold-out and waitlisted states are shown in the Service.

4. Payments and Fees

Payments are processed by Stripe, Inc. under Stripe's terms; Peeek does not store full payment card data. All transactions are in U.S. dollars.

An 8% Peeek platform fee is added to the host's ticket price and is shown to you before you complete a purchase. The minimum ticket price is $5.00.

Hosts receive their proceeds via Stripe Express Connect, typically approximately 48 hours after the event ends, subject to these Terms and to holds for disputes or investigation.

Taxes. Where applicable, Peeek acts as a marketplace facilitator and calculates and remits sales tax through Stripe Tax. Hosts are responsible for their own income and other taxes. Hosts whose proceeds meet the applicable reporting threshold (generally $600 or more in a calendar year) will receive an IRS Form 1099-K, issued through Stripe.

5. Refunds and Cancellations

Each event displays the host's refund policy at the time of purchase. A host selects one of two policies: (a) a full refund if requested at least 24 hours before the event start time, or (b) no refunds.

If a host cancels an event, all attendees receive automatic full refunds regardless of the displayed policy. Refunds are returned to the original payment method through Stripe.

6. Disputes and Chargebacks

Buyer disputes. You may raise a dispute with Peeek within 48 hours after an event ends, and only for host-caused problems — for example, the event did not occur, was materially different from its description, or was shut down. No-shows, changed personal plans, and general dissatisfaction do not qualify for a refund or dispute.

Chargebacks. Initiating a payment-card chargeback for a valid, delivered ticket is not a substitute for the dispute process above. Peeek will contest chargebacks that our records — including check-in timestamps and QR scan logs — show to be buyer-fault. Filing fraudulent chargebacks may result in suspension of your account. Hosts who incur excessive chargebacks may be suspended pending review.

7. Host Obligations

If you host events, you represent and warrant that each event is lawful and complies with all applicable laws, permits, and venue requirements; that your event information is accurate and not misleading; and that you will operate your event safely. You are the organizer and are solely responsible for your event.

Age-restricted events. Events restricted to attendees 21 or older must be marked as such, and verifying attendee age at the door is your legal responsibility. Peeek provides platform tools only and does not verify age at the door.

Indemnity. You will indemnify and hold Peeek harmless from claims arising out of your events or your use of the Service to host them, as further described in Section 14.

Prohibited events. You may not use the Service to promote or sell tickets to events involving illegal activity; the sale or facilitation of weapons, illegal drugs, or sexual services; hate or violence targeting protected groups; or gatherings that require permits or licenses you do not hold.

8. User Content and Photos

The Service allows hosts and attendees to upload photos and other content, including within a limited window (approximately 72 hours) after an event.

License. For any content you submit, you grant Peeek a non-exclusive, worldwide, royalty-free license to host, display, and distribute that content within the Service. You retain ownership of your content.

Moderation. Hosts may remove any photo from their own event, and Peeek may moderate, remove, or restrict any content at its discretion. Your content must be truthful, lawful, and yours to share, and must not harass, defame, or infringe others.

DMCA. If you believe content on the Service infringes your copyright, send a notice with the information required by the Digital Millennium Copyright Act to our designated agent at legal@gopeeek.com. We respond to valid notices and may remove infringing content and terminate repeat infringers.

9. Acceptable Use

You may not:

  • buy or sell tickets through scalping, bots, or automated means;
  • create fake or fraudulent RSVPs;
  • manipulate show rates, Door Forecast, or other Service metrics;
  • share, duplicate, or use QR codes to gain or grant unauthorized entry;
  • harass, threaten, or harm hosts, attendees, or staff;
  • scrape or bulk-extract Service data;
  • reverse engineer or interfere with the Service;
  • impersonate others or circumvent identity verification or suspension; or
  • use the Service to violate any law or the rights of others.

10. Enforcement and Termination

Peeek may investigate suspected violations and may remove content, pause or cancel events, and suspend or terminate accounts. Events that reach our report thresholds are automatically paused pending review; events confirmed to be fraudulent are cancelled with attendee refunds and the responsible host suspended. Avarithim bans may result in automatic Peeek suspension.

You may stop using the Service and delete your account at any time (deletion is handled as described in our Privacy Policy). To appeal an enforcement decision, contact legal@gopeeek.com. Provisions that by their nature should survive termination — including Sections 2 (Ava Scores and prohibited uses), 8 (license), 12 through 18, and any accrued payment obligations — survive.

11. SMS Terms

Program name: Peeek Event Notifications. Peeek sends event-related text messages (RSVP confirmations, ticket delivery, waitlist updates, reminders, and event changes) to users who opt in. Message frequency varies based on your event activity. Message and data rates may apply. To opt out at any time, reply STOP. For help, reply HELP or contact support at gopeeek.com/support.

12. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, that any score or metric is accurate, or that any event will occur, be safe, or be as described — hosts, not Peeek, are responsible for their events.

13. Limitation of Liability

To the maximum extent permitted by law, Peeek will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill. Our aggregate liability for any claim will not exceed the greater of (a) the total platform fees you paid Peeek in the 12 months before the claim or (b) $100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you; nothing in these Terms waives rights that cannot be waived under applicable law.

14. Indemnification

You will indemnify and hold harmless Peeek and its affiliates from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your content, your events, your use of the Service in violation of these Terms, or your violation of any law or third-party right. Hosts additionally indemnify Peeek for all claims arising from their events.

15. Dispute Resolution; Arbitration; Class Action Waiver

Please read this section carefully — it affects your legal rights.

a. Informal resolution first. Before filing a claim, you and Peeek agree to try to resolve the dispute informally: send a written notice describing the dispute to legal@gopeeek.com (or, from us, to your account email), and allow 30 days of good-faith discussion before either party initiates a formal proceeding.

b. Binding individual arbitration. Except as provided in (d) and (e), any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration on an individual basis, administered by JAMS under its Streamlined Arbitration Rules and its Consumer Arbitration Minimum Standards. The Federal Arbitration Act governs this section. Judgment on the award may be entered in any court of competent jurisdiction. For consumers, arbitration fees will be allocated per JAMS consumer standards, and any hearing will take place in the county where you reside (or remotely, if you prefer).

c. Class action waiver. Disputes will be arbitrated only on an individual basis. Neither you nor Peeek may participate in a class, collective, consolidated, or representative action, and the arbitrator may not consolidate claims or preside over any representative proceeding. If this waiver is found unenforceable as to a particular claim, that claim (and only that claim) will proceed in court, with the remainder arbitrated.

d. Carve-outs. Either party may (i) bring an individual claim in small claims court, and (ii) seek injunctive or equitable relief in court for infringement or misuse of intellectual property. To the extent California law applies, claims for public injunctive relief may be pursued in court, and nothing in this section waives that right.

e. 30-day opt-out. You may opt out of this arbitration agreement and class action waiver by emailing legal@gopeeek.com within 30 days of first accepting these Terms, stating your name, account email, and your decision to opt out. Opting out does not affect any other provision of these Terms.

f. Severability. If any part of this Section 15 (other than the class action waiver, addressed in (c)) is found unenforceable, the remainder remains in effect.

16. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles, and by the Federal Arbitration Act as to Section 15. If you are a consumer, this choice of law does not deprive you of mandatory consumer protections under the laws of the state or country where you reside (including, for California residents, unwaivable rights under California consumer-protection law).

17. Changes to These Terms

We may update these Terms; material changes will be notified in-app or by email, and continued use after the effective date constitutes acceptance. For changes to Section 15 (dispute resolution), we will provide notice and an opportunity to opt out of the changed provision.

18. Miscellaneous

These Terms and the Privacy Policy are the entire agreement between you and Peeek regarding the Service. If any provision is unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in a corporate transaction.
